These Terms of Service govern your access to and use of the Jadwal workforce scheduling and attendance platform, operated by Transcend. Please read them carefully before using the service.
01Acceptance of Terms
By creating a Jadwal account, or by accessing or using the Service in any way, you agree to be bound by these Terms of Service. If you are accepting on behalf of a business, you confirm you are authorized to bind that business. If you do not agree, do not use the Service.
These Terms apply to all users, including company administrators, managers, and employees who use the web app or the employee mobile/PWA app.
02Description of the Service
Jadwal is an AI-powered workforce-scheduling and attendance platform that helps Saudi businesses generate schedules, record attendance, verify branch presence at clock-in/out, and manage leave and permission requests, along with related reporting.
We may add, change, or remove features over time, and we may set reasonable technical limits on use of the Service.
03Accounts & Eligibility
You must provide accurate account information and keep it up to date. The Service is intended for businesses and their adult workforce; it is not for personal, consumer use by minors.
You are responsible for keeping login credentials confidential and for all activity under your account. Notify us promptly at support@jadwal-sa.com if you suspect unauthorized access. We may suspend accounts that show signs of compromise or misuse.
04Employer & Employee Roles & Responsibilities
Employers (company administrators and the managers they authorize) control their own workspace: they add employees, configure branches and geofencing, set schedules, and decide how attendance and location-verification data is used internally. The employer is responsible for the lawfulness of that use, including under the Saudi PDPL and labour rules.
Employees use the Service to view schedules, punch in/out, and submit leave or swap requests. Employees must use the Service honestly — for example, not punching for someone else or falsifying location.
05Acceptable Use
You may use the Service only for lawful internal business purposes. You must not attempt to breach security, reverse-engineer, scrape, overload, or disrupt the Service, nor use it to store unlawful content or to infringe others’ rights.
You must not resell, sublicense, or commercialize the Service without our prior written consent.
06Attendance & Geofence Feature Terms
The location-verified punch feature captures the employee’s GPS location only at the moment of clocking in or out, to confirm branch presence. By using this feature, the employee consents to that single-moment location capture as a condition of using location-verified punching. There is no continuous or background tracking.
Employers are responsible for using the attendance and location features lawfully and fairly, and for clearly informing their staff — before relying on geofencing — that location is captured at punch time, why it is captured, and who can see it. Transcend provides the tooling; the employer remains accountable for how it deploys the feature with its workforce.
07Subscription & Billing
Jadwal is offered on a subscription basis, typically with a free trial. After the trial, continued use requires a paid plan. Fees are billed in advance through our payment provider (merchant of record) and are non-refundable except as required by applicable Saudi law.
We may change pricing on reasonable prior notice. Non-payment may lead to suspension of the account until the balance is settled, with data preserved during the suspension as described in our Privacy Policy.
08Intellectual Property
The Jadwal software, design, trademarks, and all related materials are owned by Transcend or its licensors and are protected by applicable law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service — no other rights are granted.
09Data Ownership
As between you and Transcend, the employer owns the workforce data it enters and generates through the Service (employee records, schedules, attendance, location-at-punch, leave records). You grant Transcend a limited licence to host and process that data solely to provide and support the Service.
We process this data as described in our Privacy Policy. On termination, the employer may export its data within a defined window before deletion or anonymisation, subject to legal retention requirements.
10Disclaimers & Limitation of Liability
The Service is provided “as is” and “as available.” We do not warrant that it will be uninterrupted or error-free, and GPS accuracy depends on the user’s device and environment. The Service supports, but does not replace, the employer’s own compliance and payroll responsibilities.
To the maximum extent permitted by Saudi law, Transcend is not liable for indirect, incidental, special, or consequential damages. Our total aggregate liability for direct damages is limited to the amounts you paid for the Service in the three (3) months before the event giving rise to the claim.
11Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service unlawfully. Provisions that by their nature should survive termination (such as data ownership, disclaimers, and governing law) will continue to apply.
12Governing Law
These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia. Any dispute arising out of or relating to the Service shall be subject to the exclusive jurisdiction of the competent courts in Jeddah, Kingdom of Saudi Arabia.
13Changes to These Terms
We may update these Terms from time to time. When we make material changes we will update the “last updated” date on this page and, where appropriate, ask account holders to re-accept. Continued use of the Service after changes take effect means you accept the updated Terms.
